Chapter 1. General

Art. 1 (Purpose) These Terms set out the conditions for using CarDrawer (차서랍, the "Service"), a business service for used-car dealers provided by Simpest21 ("we"), and the rights and duties of us, Customers and Users.

Art. 2 (Definitions)

  1. Customer: a used-car dealership, a dealer belonging to one, or a sole-proprietor dealer that has a contract with us. Shown in the Service as an "organisation".
  2. Administrator: a person who created the organisation or holds the owner or admin role.
  3. User: a person who uses the Service with an account, invited by or creating an organisation.
  4. Customer Data: all vehicle, deal, cost, document, photo and note data that Users enter or upload, and the results of processing it.
  5. Plan: a package defining seats, monthly new deals, monthly processed pages and the fee (Trial, Solo, Team, Dealership, etc.).
  6. Order: a written agreement (email included) between us and the Customer stating plan, fee, term, payment method and start date, including quotes and pilot agreements.
  7. AI Suggestion: a value or draft produced by generative AI and not yet approved by a User.

Art. 3 (Effect and changes)

  1. These Terms take effect when a User accepts them at sign-up.
  2. An Order prevails over these Terms where they differ. The Data Processing Agreement prevails on matters of personal data.
  3. We give notice in the Service and by email to Administrators 7 days before changes take effect (30 days for changes unfavourable to Customers).
  4. A Customer who does not accept a change may terminate before it takes effect, and the unfavourable change will not apply to it. Silence until the effective date is treated as acceptance, except that fee increases and conversion from free to paid always require explicit consent (Art. 11).

Art. 4 (Business service) The Service is for business use in the used-car trade. Only people aged 19 or older who work in the trade may sign up, and Users confirm this at sign-up. These Terms assume use for commercial purposes; however, for sole-proprietor Customers we apply consumer-level standards on termination, refunds and fee changes (Art. 11–13).

Chapter 2. Contract and accounts

Art. 5 (Formation) A trial contract forms when an Administrator creates an organisation and accepts these Terms and the Data Processing Agreement. A paid contract forms when we and the Customer agree on an Order. The app does not offer in-app purchase or payment. We may refuse or later terminate where someone uses another person's identity, gives false information, was previously restricted under Art. 17, or clearly breaks the law.

Art. 6 (Accounts and members) One account per person; accounts must not be shared or transferred. Administrators manage invitations, roles, permissions and seats and must promptly revoke access of departing members; a removed member loses access from the next request. Users must keep their sign-in method (Google account, email) secure and tell us at once of misuse. The last owner may leave only after appointing another owner or requesting termination.

Art. 7 (Service content) Vehicle and deal records and status, document capture with original retention, AI Suggestions with human review, cost and settlement calculations, deadline reminders, sales-preparation checklists and draft descriptions, data export, organisation and permission management, and demo mode. We may improve the Service; we give 30 days' notice before removing or substantially reducing a core feature.

Chapter 3. Trial, fees and payment

Art. 8 (Free trial) New organisations start with a 14-day free trial with no card or other payment method. Trial limits are shown in the Service (e.g. 5 new deals, 50 pages, all Team features). The trial never converts to paid or charges automatically. Without a paid contract, the organisation stays read-only with export for 30 days, after which Customer Data is deleted (with email notice 7 days before).

Art. 9 (Pilot) A pilot agreed separately follows its pilot agreement (free period, start of standard fees, support, price lock). Before standard fees start we notify and obtain consent under Art. 11.

Art. 10 (Fees and payment)

  1. Fees, plan, seats, limits and billing cycle follow the Order. Fees are in Korean won, stated both excluding and including VAT.
  2. Payment is by bank transfer against our tax invoice (or bill). If we add web payment, the Order and a separate notice apply.
  3. Monthly fees are billed on the agreed day and due within 14 days. If unpaid, we send a reminder with at least 7 days' grace and may then pause new AI processing and new registrations; viewing and export remain available.
  4. We never charge for overage without consent. We notify Administrators at 80% and 100% of a limit. At 100%, only AI extraction of new documents and new purchase registration stop for that month; manual entry, viewing, editing and export continue. Extra capacity or a plan change requires the Administrator's written (email) approval.
  5. We issue tax invoices for fees paid.

Art. 11 (Consent to fee increases and paid conversion) At least 30 days before raising fees or converting from free (trial, pilot) to paid, we email the Administrator the date, old and new amounts, payment method, and how to cancel and its effect, and obtain explicit consent. Without consent we do not charge the new fee, and the Customer may terminate without penalty. Price locks stated in an Order (e.g. founding customers) are honoured for their term.

Chapter 4. Termination, refunds, data return

Art. 12 (Termination)

  1. Customers may terminate at any time via Settings > Delete account / organisation, or by one email to sugarmount21@gmail.com. We will not make cancellation harder than sign-up or use repeated retention prompts.
  2. Monthly contracts run to the end of the month of the request; no further billing.
  3. We may terminate after a cure period of at least 30 days if fees are unpaid for 2 months or more, or Art. 17 is breached; we may restrict use immediately where a legal violation or serious harm to others is evident.
  4. If we discontinue the Service, we give 90 days' notice, refund prepaid fees for the remaining period and guarantee data return under Art. 14.

Art. 13 (Refunds) Full refund if termination is requested within 7 days of the first paid payment and no new deals were processed in that period. Annual prepayments are refunded after deducting months used at the standard monthly fee. If the Service is unavailable for 72 consecutive hours or more due to our fault, we credit or refund the pro-rated fee on request. Refunds are paid within 7 business days to the Customer's account.

Art. 14 (Data return and deletion)

  1. Customer Data belongs to the Customer. The Customer may export it at any time (full CSV and ZIP of original evidence).
  2. For 30 days after a termination request, Administrators keep viewing and export access (return period), and we help with export on request.
  3. After the return period we delete Customer Data and, on request, send a deletion confirmation. Records the Customer designated for statutory retention (e.g. vehicle inspection report copies) are kept separately until expiry on the Customer's instruction, then deleted. Backup copies expire automatically within 35 days.
  4. CSV is UTF-8 with BOM; amounts are integer won. Counterparty personal data columns are included only when an authorised Administrator explicitly selects them.
  5. We have no duty to restore Customer Data after the return period.

Chapter 5. Customer Data and AI

Art. 15 (Use of Customer Data) We process Customer Data only as needed to provide, maintain and protect the Service and to respond to the Customer. We do not sell it, use it for advertising or use it to train AI models. We may use aggregated, non-identifying statistics (e.g. feature counts, success rates) that contain no plate numbers, names, amounts or document content. Personal data inside Customer Data is processed under the Data Processing Agreement; as controller, the Customer informs data subjects of processing and transfers abroad, using notice text we provide. Our operators view Customer Data only through support access approved by the Customer's owner with a purpose and expiry.

Art. 16 (AI Suggestions and the duty to check) The Service uses generative AI (Google Gemini). AI Suggestions can be wrong and are not final until approved. Users must check critical values (amounts, vehicle assignment, plate, VIN, odometer, inspection and issue dates, accident or replacement marks, seizure or mortgage) against the original before approving. The Customer is responsible for approved values, approved costs and settlements, exports and anything published. "Operating contribution" in cost screens is a management figure based on the Customer's approved inputs, not accounting or tax profit; the purchase-limit calculator is a reference based on the User's assumptions, not advice to buy. Use "Report a problem" for wrong or inappropriate output.

Art. 17 (Prohibited conduct) Users must not: (1) upload files they are not entitled to process; (2) knowingly upload unmasked resident registration, driver's licence, passport or alien registration numbers; (3) enter credentials for other platforms (e.g. HeyDealer, Encar) or upload data scraped in breach of their terms; (4) use output for false or exaggerated advertising (e.g. unverified "accident-free" or "warranty"), misrepresent vehicle condition, or alter photos of damage or odometers; (5) share accounts or rotate accounts to evade seat limits; (6) reverse-engineer, bypass security or send excessive automated requests; (7) attempt to access other Customers' data; (8) use contact data in the Service to send marketing without consent.

Chapter 6. Responsibility

Art. 18 (Dealer's legal duties) Duties under the Motor Vehicle Management Act and related laws — disclosure to buyers, providing inspection reports, mandatory online advertising information, filing ownership transfer, and record retention — belong to the Customer as the dealer. The Service helps organise records and check deadlines and gaps; it does not perform statutory disclosure, inspections or transfers. Deadline rules and checklists reflect laws and policies as we checked them and must be confirmed by the Customer before use (marked "dealer confirmed" in the Service). Whether scanned copies replace a duty to keep paper originals is for the Customer to confirm.

Art. 19 (Our duties) We endeavour to provide the Service stably. Performance or availability figures in the Service are targets, not a service level agreement unless an Order says so. We protect personal data under the Privacy Policy and the Data Processing Agreement, notify Customers of security incidents without delay, and announce planned maintenance in advance (or afterwards in emergencies).

Art. 20 (Limitation of liability) Except for wilful misconduct or gross negligence: we are not liable for force majeure, failures of external services beyond our control (networks, cloud, Google services) or the Customer's fault; we are not liable for approved values, unchecked use of AI Suggestions, the Customer's failure to meet its legal duties, or purchase and sale decisions; our total liability is capped at the fees paid in the 3 months before the damage occurred (the cap does not apply to damage from breaches of personal data protection law); and we are not liable for indirect damage or lost profits.

Art. 21 (Customer's responsibility) The Customer is responsible for its Users and indemnifies us against third-party claims arising from its or its Users' breach of these Terms or the law.

Chapter 7. Miscellaneous

Art. 22 (Intellectual property) Rights in the Service, software, design and marks (차서랍, CarDrawer) belong to us; we grant the Customer a non-exclusive, non-transferable right to use the Service during the term. Rights in Customer Data belong to the Customer; we receive only the rights needed to provide the Service. We may freely use feedback, excluding the Customer's confidential information.

Art. 23 (Confidentiality) Each party keeps the other's confidential information (fee terms, Customer Data, system information) secret during the term and for 3 years after, except where disclosure is required by law.

Art. 24 (Notices) We notify Customers by Administrator email, in-Service notices and app notifications. Customers notify us at sugarmount21@gmail.com.

Art. 25 (Assignment) The Customer may not assign the contract without our consent. If we transfer the business, we give 30 days' notice and the Customer may terminate without penalty.

Art. 26 (Governing law and jurisdiction) Korean law governs. Disputes are first settled by negotiation, failing which the competent court under the Civil Procedure Act has jurisdiction.

Addendum These Terms take effect on October 19, 2026.
